Pursuant to the provisions of the SEBI (LODR) Regulations, 2015, we wish to inform that the Board of Directors of the Company at its Meeting held today i.e. May 28, 2026, have inter-alia considered and approved- 1. Audited Standalone Financial Results of the Company for the Half Year and Financial Year ended March 31, 2026. 2. Audited Consolidated Financial Results of the Company for the Half Year and Financial Year ended March 31, 2026. 3. Recommendation of Final Dividend at Rs.1.00/- per equity share of Rs. 10/- each (i.e. 10%) for FY 2025-26, subject to declaration of the same by members at the ensuing Annual General Meeting. 4. Acquisition of 100% ownership in Epitome Cloud Inc. and indirect acquisition of its subsidiary in India, i.e., Epitomecloud Technology Private Limited, for a consideration of approx. INR 40 crore (Rupees Forty crore), and subject to the terms set out in the stock purchase agreement.
